A Practitioner’s Perspective

Corporate law remains as dynamic and relevant as ever. It continues to be tested in practice and is increasingly shaped by new regulatory developments. As in previous years, the SZW Corporate Law Conference addresses key issues of practical importance and provides participants with concrete recommendations and guidance.

Corporate governance and ESG continue to be topics of enduring significance, and two presentations will therefore be dedicated to these subjects.

Court decisions play an important role in clarifying practical issues. The conference will provide an overview of selected recent judgments and their implications for corporate practice.

The 2020 revision of Swiss corporate law has added complexity to the rules governing distributions to shareholders, particularly through the distinction between dividend distributions and repayments from statutory capital reserves. These developments will be examined in a dedicated presentation.

Given the current economic environment, the presentation on corporate distress, restructuring and recent developments in this area is particularly timely. Equally topical are litigation issues in corporate law, which will therefore be addressed in a separate session.

Last but not least, current issues relating to Swiss limited liability company (GmbH) law will be explored. The GmbH has long ceased to be a niche legal form, yet it continues to receive comparatively limited attention in academic commentary.

The conference will conclude with a panel discussion on current developments in corporate law, including the growing significance of digitalisation and artificial intelligence in corporate governance and corporate law practice.
